JOB VACANCY-Group Company Secretary

Job Description


  • To carry out all corporate secretarial duties which include ensuring the effective administration and discharge of the functions of the board and implementation of company/board/shareholders and/or management decisions and policies and assisting the companies/board/directors/management in the discharge of their disclosure obligations under statutory regulations.
  • Plan the dates for meetings and arrangement/preparation of the meetings.
  • Ensure timely dispatch of notices and agenda, attend and record the proceedings of the meetings, review the meeting papers and provide advice on corporate matters as and when required/necessary and take appropriate actions arising from the meetings.
  • Review corporate proposals, draft audited financial statements including quarterly unaudited results and the announcements thereto and ensure compliance with regulatory requirements and their timely dissemination upon board approval.
  • Monitor the schedules for corporate transactions to ensure prescribed deadlines are met and the relevant documents for approval by the regulatory authorities are prepared in a timely manner.
  • Plan, oversee and monitor checklists of deadlines for submission documents with the relevant regulatory authorities within the prescribed deadlines.
  • Ensure proper documentation of records which include minutes of meetings, statutory registers and correspondence with relevant authorities and ensure that the relevant records are promptly filed, updated and maintained in good and systematic order.
  • Draft and/or review announcements, resolutions, board papers and other documents for corporate/statutory transactions or corporate exercises.

The Successful Applicant

  • LLB and/or ICSA or other relevant qualifications.
  • Minimum 5 years experience in a corporate or legal department of an established public listed company or a legal firm.
  • Technically sound with good working knowledge in the application of the Companies Act, Bursa Malaysia Listing Requirements, SC and FIC Guidelines, other relevant corporate and securities legislation.
  • Exposure to large corporate transactions and knowledge of regional company laws is an added advantage.
  • Excellent command of written and spoken English and Bahasa Malaysia.
  • Able to communicate across all levels.
  • Adept and innovative at using software applications.
  • Able to work independently and with minimum supervision
